Welcome to the Municipal Innovation Alliance (“MIA,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website, membership community, resources, courses, digital products, and services (collectively, the “Services”).
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION ABOUT YOUR RIGHTS AND OBLIGATIONS, AS WELL AS LIMITATIONS AND EXCLUSIONS THAT MAY APPLY TO YOU.
“Account” means the account you create to access certain features of the Services.
“Content” means any text, images, videos, audio, documents, templates, guides, courses, and other materials available through the Services.
“Member” means any individual or entity that has registered for a free or paid membership.
“Membership” means your subscription to access certain features, resources, and community areas of the Services.
“Municipality” means the local government entity (city, town, village, township, or similar) on whose behalf a Member is participating.
“User Content” means any content that you submit, post, or transmit through the Services.

By using the Services, you represent and warrant that you meet all eligibility requirements.
To access certain features of the Services, you must create an Account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary to keep it accurate, current, and complete.
You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You agree to notify us immediately of any unauthorized use of your Account or any other breach of security.
Paid memberships may include access for multiple staff members within the same Municipality, as specified in your membership tier. Each authorized user must have their own Account. Sharing of individual Account credentials is prohibited.
We offer both free and paid membership tiers. The features, resources, and benefits available to you depend on your membership tier, as described on our website. We reserve the right to modify membership tiers and benefits at any time.
Paid memberships require payment of the applicable fees as displayed on our website at the time of purchase. Membership fees are based on your Municipality’s population as self-reported during registration. You represent and warrant that the population information you provide is accurate. We reserve the right to verify population data and adjust fees accordingly.
Paid memberships are billed annually. Your membership will automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your designated payment method for renewal fees.
We may change membership fees at any time. If we increase fees, we will provide at least 30 days’ notice before the change takes effect. Your continued use of the Services after a fee change constitutes acceptance of the new fees.
[OPTION A: NO REFUNDS] All membership fees are non-refundable. You may cancel your membership at any time, but you will not receive a refund for any remaining portion of your membership term.
[OPTION B: PRO-RATA REFUNDS] If you cancel your paid membership within the first 30 days, you may request a full refund. After 30 days, cancellation will be effective at the end of your current billing period, and no refund will be provided.

In addition to membership, we may offer digital products (such as ebooks, templates, and toolkits) and courses for separate purchase. All purchases are subject to these Terms unless otherwise specified at the time of purchase.
Upon purchase, you will receive access to the digital product or course as described. Access may be perpetual or time-limited, as specified at the time of purchase.
Due to the nature of digital products, all sales of ebooks, templates, and downloadable materials are final. Refunds for courses may be requested within 14 days of purchase if you have not accessed more than 25% of the course content. Refund requests should be submitted to [EMAIL ADDRESS].
We offer professional services including IT assessments, AI readiness assessments, grant support, and strategic planning facilitation. Fee-for-service engagements are governed by separate service agreements and statements of work. In the event of any conflict between these Terms and a service agreement, the service agreement shall control with respect to that engagement.
You may use the Services for lawful purposes related to your role in local government administration. Resources, templates, and materials provided through the Services are for use by you and your Municipality.

The Services and all Content provided by MIA, including but not limited to text, graphics, logos, images, templates, guides, courses, software, and other materials, are owned by MIA or our licensors and are protected by copyright, trademark, and other intellectual property laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Content for your personal and your Municipality’s internal governmental purposes. This license does not include the right to resell, redistribute, or create derivative works from the Content for distribution outside your Municipality.
Templates, checklists, policies, and similar materials provided through the Services may be customized for use by your Municipality. Documents you create using our templates belong to you or your Municipality. However, you may not redistribute the underlying templates in their original or substantially similar form.
You retain ownership of User Content you submit to the Services. By submitting User Content, you grant MIA a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content in connection with operating and improving the Services. You represent and warrant that you have the right to grant this license.
If you provide us with feedback, suggestions, or ideas regarding the Services, you grant us the right to use such feedback without restriction or compensation to you.
Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.
The Content and Services are provided for informational and educational purposes only. Nothing in the Services constitutes legal, financial, accounting, or other professional advice. You should consult with qualified professionals regarding specific situations affecting your Municipality.
We do not guarantee any specific results from using the Services, including but not limited to grant awards, cost savings, or operational improvements. Results depend on many factors beyond our control.
THE SERVICES AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless MIA and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another party.
You may terminate your Account and membership at any time by contacting us or using the cancellation features in your Account settings. Termination does not entitle you to a refund of any fees already paid, except as provided in Section 4.5.
We may suspend or terminate your Account and access to the Services at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, violations of these Terms, fraudulent or illegal activity, or extended periods of inactivity.
Upon termination, your right to access the Services will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and indemnification.
Before initiating any formal dispute resolution proceeding, you agree to contact us and attempt to resolve any dispute informally. Most concerns can be resolved this way.

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
We may provide notices to you via email, posting on the Services, or other reasonable means. Notices to us should be sent to the contact information below.
We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or internet or telecommunications failures.
